These terms govern your use of the DeskFlow website and the customer support services we provide.
These Terms of Service form an agreement between you ("Client", "you") and DeskFlow, a customer support services business operated by Sahil Chandok, a sole proprietor based in New York, United States ("DeskFlow", "we", "us").
By using our website, submitting an enquiry, or engaging our services, you accept these terms. If you do not accept them, do not use the site or our services. Where you accept these terms on behalf of a company, you confirm you are authorised to bind that company.
DeskFlow provides outsourced customer support. Depending on the plan you select, this includes one or more dedicated agents handling your customer enquiries across agreed channels, working from a playbook built from information you provide about your products, policies, and brand voice.
Plans, coverage hours, channels, and reporting cadence are as described on our website at the time you subscribe. We may improve or adjust how the service is delivered, but will not materially reduce what your plan includes during a paid period without notice.
We do not guarantee any particular business outcome, resolution time, satisfaction score, or reduction in ticket volume unless separately agreed in writing.
By providing your mobile number and checking the SMS consent box, you agree to receive service and account text messages from DeskFlow at that number.
Supported carriers may change without notice. Message delivery is subject to carrier availability.
Service is billed as a flat monthly fee at the plan rate published at the time you subscribe. Fees are charged in advance for each monthly period and are exclusive of any applicable taxes, which you are responsible for.
There are no setup fees and no per-ticket charges. If payment fails or remains outstanding, we may suspend service after giving you reasonable notice and an opportunity to correct it.
We may change our prices on 30 days' written notice. A price change takes effect at your next billing period, and you may cancel before it applies.
Service is month-to-month with no minimum term and no annual lock-in. You may cancel at any time; cancellation takes effect at the end of your current paid month, and you retain service until then.
Fees already paid for the current period are not refundable, except where we have failed to provide the service and cannot remedy it.
We may terminate for material breach, non-payment after notice, or misuse of the service. On termination, we will return or delete your data as described in section 8 and in our Privacy Policy.
Each party may receive information from the other that is confidential. Each party agrees to protect the other's confidential information with at least the care it applies to its own, to use it only to perform or receive the service, and not to disclose it except to people who need it and are bound by similar obligations. This does not apply to information that is public through no fault of the receiving party, was already lawfully known, is independently developed, or must be disclosed by law.
You retain all rights in the data you provide and in your customers' data that we handle on your behalf. We process that data only to deliver the service and on your instructions, as set out in our Privacy Policy. On termination, we will return or delete it at your request, subject to records we must retain by law.
We retain ownership of our own materials, methods, templates, and systems, including anything we develop generally in the course of providing services. You retain ownership of your brand, content, and materials. Nothing here transfers ownership of either party's intellectual property.
Except as expressly stated in these terms, the service is provided "as is" and "as available", and we disclaim all other warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility.
Our total aggregate liability arising out of or relating to these terms or the service will not exceed the total fees you paid to us in the twelve months immediately preceding the event giving rise to the claim.
Nothing in these terms limits liability that cannot be limited by law, including for fraud or wilful misconduct.
You agree to indemnify and hold DeskFlow harmless from third-party claims arising out of your breach of these terms, your misuse of the service, your content, or your failure to obtain necessary consents from your own customers. We agree to indemnify you against third-party claims that our service, used as permitted, infringes that third party's intellectual property rights.
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in New York, and both parties consent to the jurisdiction of those courts.
Before filing, both parties agree to attempt in good faith to resolve the dispute informally by contacting the other with a written description of the issue and allowing 30 days to resolve it.
We may update these terms from time to time. When we do, we will revise the "last updated" date above. Material changes will be communicated to active clients at least 30 days before taking effect, and continued use of the service after that constitutes acceptance.
If any provision is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it. You may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These terms, together with the Privacy Policy and any signed service agreement, are the entire agreement between us regarding the service.
